Article 1: Definitions

  • DH-Systems, located at Kolshoekstraat 5, 9170 Sint-Gillis-Waas, Belgium, Enterprise number: [Ondernemingsnummer], VAT number: [Btw-nummer]. Email: info@dh-systems.be.
  • “Customer”: Any physical person or legal entity that enters into a contractual relationship with the Seller.
  • “Products”: Hardware, electronics, ESP32-modules, and digital drawings sold via the website.
  • “Services”: On-site repairs, installations (heaters, lighting, plumbing), and upgrades.

Article 2: Applicability

These Terms and Conditions apply to all offers, agreements, orders, and deliveries of products and services provided by the Seller. By placing an order or booking an appointment, the Customer explicitly accepts these terms.

Article 3: Prices and Payment

  1. B2C Pricing: All prices listed for consumers are in Euros and include Belgian VAT, but exclude shipping costs unless stated otherwise.
  2. Webshop Payment: Orders placed through the webshop must be paid directly online during the checkout process.
  3. Service Payment: Invoices for on-site repairs or installations must be paid within 14 days of the invoice date, unless agreed otherwise in writing.

Article 4: Right of Withdrawal

  1. Standard Products: For standard products bought online, the consumer has a legal right to withdraw from the contract within 14 days without giving any reason.
  2. Custom Electronics Exception: The right of withdrawal does not apply to goods made to the consumer’s specifications or clearly personalized (such as custom-built hardware or personalized digital drawings), in accordance with Article VI.53, 3° of the Belgian Code of Economic Law.
  3. Services Exception: The right of withdrawal does not apply to service contracts after the service has been fully performed, if the performance began with the consumer’s prior express consent (e.g., urgent repairs).

Article 5: Warranty

  1. Legal Warranty: Consumers are entitled to the statutory 2-year warranty for lack of conformity of products, starting from the date of delivery, in accordance with Belgian law.
  2. Exclusions: The warranty does not cover defects caused by normal wear and tear, improper use, external causes (e.g., water damage, incorrect voltage input), or modifications made by the Customer or third parties.

Article 6: Liability

  1. The Seller is not liable for indirect, consequential, or incidental damages (such as data loss or business interruption) resulting from the use of the products or services.
  2. For on-site repairs and installations (e.g., heaters, plumbing), the Seller’s liability is limited to the amount paid by the Customer for that specific service, except in cases of fraud or intentional misconduct.

Article 7: Intellectual Property

All designs, source codes, digital drawings, and hardware layouts created by the Seller remain the exclusive intellectual property of the Seller. The Customer receives a non-exclusive license to use digital drawings for personal or specified business goals, but is not allowed to resell or redistribute them.

Article 8: Applicable Law and Jurisdiction

These terms are governed exclusively by Belgian law. Any disputes arising from this agreement will be settled before the competent courts of the judicial district where the Seller is established.
